TutorOnline LP, Company Number: SL29442272, Address: Bath Street, Glasgow G2 4JR, Scotland, United Kingdom (“Company” or “Site Administrator”), and its affiliates (collectively, "Company"), provides this Website (www.tutoronline.net), including all services offered hereon, (the website and the services are collectively referred to as the "Site") and these Terms of Use govern your use of this Site

Please carefully read this Terms of Use.

If you ("You" or "User") are under eighteen (18) years of age or the age of majority in your jurisdiction, then please read these Terms of Use and the Privacy Policy with your parent or legal guardian. By using, accessing or purchasing access to this Site, you represent that you (or your parent or legal guardian on your behalf if you are a minor) have read, understood and agree to the Terms of Use in their entirety, including the Privacy Policy. If you, or in the case that you are a minor, your parent(s) or legal guardian(s) do not agree with any part of the Terms of Use, including the Privacy Policy, then please do not use, access or purchase access to the Site.

If someone else is paying for (or authorizing) your tutoring account, you agree to print this document and hand it to them.

Company reserves the right to make changes to these Terms at any time. Any such modifications will become effective immediately upon posting to the site and your continued use of the site, Services and/or Software constitutes your agreement to such modifications. You agree to periodically review the current version of these Terms as posted on the site.

  1.       Description of services

Through our Services, site and Software, Company enable Users to connect with tutors ('Tutors') who provide live, one-to-one instruction, tutoring and learning services in our proprietary online classrooms (Tutoring Sessions). The Services include, without limitation, keeping track of Users' favorite Tutors, smart-matching Users with the best available Tutors, facilitating and hosting Tutoring Sessions, and taking feedback from Users.

For the correct access to the site resources, User equipment must meet the minimum technical requirements listed on the site.

The service is available every day of the year, at any time of the day. Functioning of the Site may be violated by force majeure or other factors, prevention or overcoming of which is beyond the capacity of the site Administrator.

As an online service www.tutoronline.net may periodically be unavailable as Company perform regular maintenance and upgrades during the following times: every Wednesday from 11:00 am to 12:00 am.

  1.       Prices and payments

Prices are stated, depending on the information contained in our offers, in euros (EUR) including statutory VAT.

The total amount of remuneration and its composition depends on which can be found on the "Price" tab.

Our services are provided on a pre-funding basis, where we will only commit to providing our services once payment has been received. If prepayment for each section of services has been agreed, our tutor will only commence each section of services after prepayment has been made.

Shipping, postage, and other additional costs (e.g., copying costs, media creation costs, interlibrary loan fees) are the responsibility of the customer and are billed separately.

  1.       Account Registration & Termination

In order to use the resources of the Site, the User must undergo compulsory registration procedure on the Site. In this case, the registration forms for Tutors and Users are different.

As part of the Services, Company require all Tutors to pass a third party verification service ("Verification Service"), which makes reasonable commercial efforts to confirm the validity of Tutors' claimed educational credentials.

To use the Services, you will need to register on the site, pay any applicable fees, and obtain an account, Username and password.

Each User may have only one active User Account at any given time for this Site. You should keep your User Account information confidential. You agree not to use another User's User name and password to access the Site, or to provide your User Account information to another User or third party to access the Site. You agree to provide accurate and truthful information when creating a User Account and during your use of the Site.

In consideration of your use of the Services, you agree to (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being "Your Data"), (b) maintain and promptly update Your Data to keep it true, accurate, current and complete; and (c) comply with these Terms of Use. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Company believe that such information is untrue, inaccurate, not current or incomplete, Company reserve the right to suspend or terminate your account(s) and refuse any and all current or future use of the Services, or any portion thereof. You agree not to use the site, the Services or the Company Content (as defined below) to recruit, solicit, or contact in any form Tutors or potential Consumers for employment or contracting for a business not affiliated with us without our advance written permission.

Upon completion of the registration process, the User becomes the profile owner, which means that he is responsible for everything that is done on the Site using his User profile. To begin using the Site,  the User must provide his/her identification data (enter his/her login and password on the login page) or sign in via a social network.

If you reside outside the United Kingdom, your registration indicates your explicit consent that the personal information you have provided may be transferred and stored in countries outside your home country—including the United Kingdom. Your personal information shall only be used in accordance with our Privacy Policy.

The only right that you have with respect to dissatisfaction with any policies, guidelines, or practices of TutorOnline LP in operating tutoronline.net or any Content, is for you to discontinue accessing tutoronline.net. TutorOnline LP, in its sole discretion, may terminate or temporarily suspend your access to all or any part of tutoronline.net, without notice, for conduct that TutorOnline LP believes is a violation of this Terms of Use or any policies or guidelines posted by TutorOnline LP, or for other conduct which TutorOnline LP, in its sole discretion, believes is harmful to other users. TutorOnline LP may discontinue operating tutoronline.net and terminate this Terms of Use without notice at any time for any reason in its sole discretion.

  1.       License to Use Site Content

Subject to your compliance with these Terms of Use, Company grants you a limited, personal, non-exclusive, non-commercial, revocable and non-transferable license to view the content of www.tutoronline.net. You may only use the Services for your own personal use.

You agree not to view, copy, or procure content or information from the services by automated means (such as scripts, bots, spiders, crawlers, or scrapers), or to use other data mining technology or processes to frame, mask, extract data or other materials from the Site content (except as may be a result of standard search engine or Internet browser usage), unless formally authorized by our service under separate written agreement. No materials from the services may be copied, reproduced, modified, republished, downloaded, uploaded, posted, transmitted, or distributed in any form or by any means without Our prior written permission or as expressly provided in these Terms of Use.

When you download or use the Site content as authorized by these Terms of Use, you must: (a) keep intact all copyright and other proprietary notices; (b) make no modifications to the Site content; and (c) not copy or adapt any object code associated with the services or reverse engineer, modify or attempt to discover any source code associated with the Services, nor allow or assist any third party (whether or not for your benefit) to do so. All rights not expressly granted herein are reserved. Where you purchase a subscription or a license to access any Site content, you may not share that subscription or license with others.

Company may impose reasonable limits on your scope of access to Site content, including limits on time or number of materials accessed or machines used to access such Content, to prevent unauthorized third party access to or use of that Content.

  1.       Copyright

Design and code of the Site, information, graphics, audio, video, photos and other contents of the Site, performed and placed on the Site (such as visible to the User and not visible without performing special actions, legal or illegal) are considered the intellectual property of the TutorOnline LP or other copyright owners who have entered into an agreement with the TutorOnline LP, entitling him to place these objects of intellectual property on the Site or in its composition, and protected in accordance with applicable legislation of the United Kingdom. No intellectual property, as well as the transfer its rights is subject to the Terms of Use.

Any action and/or lack of one by the User, which caused the violation of the rights of the TutorOnline LP or directed to cause violation of the rights of Our intellectual property are punishable under the laws of the United Kingdom, as well as give the Site Administrator the right to delete User profiles from the database without notice.

The User guarantees the settlement of all possible claims of rights holders and/or authors and/or contractors, or other third parties to the TutorOnline LP, in connection to the materials referred to in the Terms of Use on their own and at their own expense. In case of claims to the TutorOnline LP by third parties on the issue of illegal usage by the User objects of intellectual property on the Site, the User agrees to indemnify all losses suffered by the TutorOnline LP all losses as a result of breach or receiving of such claims, and the TutorOnline LP has the right to terminate the Terms of use unilaterally, by removal of the User Profile from the Database.

You agree to safeguard the Company Content and the Services (collectively, Proprietary Information) and to prevent the unauthorized, negligent or inadvertent use or disclosure thereof. You will not, without our prior written approval, directly or indirectly, use or disclose the Proprietary Information to any person or business entity except for a limited number of your employees who are on a need-to-know basis and who agree in writing to be bound by the restrictions on use and disclosure set forth in these Terms or restrictions no less restrictive than these Terms. You agree to promptly notify us in writing of any use or disclosure of Proprietary Information in violation of these Terms. You acknowledge that the use or disclosure of the Proprietary Information in any manner inconsistent with these Terms will cause us irreparable damage and that Company will have the right to (i) equitable and injunctive relief to prevent such prohibited use or disclosure, and (ii) recover the amount of all damages (including attorney’s fees and expenses) in connection with such prohibited use or disclosure.

  1.       Links

The Site may provide links to another World Wide Web sites or resources (Third Party Sites). This may include Tutors sending links to Third Party Sites and/or causing Third Party Sites (such as study resources or online education pages) to pop-up for your review. Because we have no control over Third Party Sites, you acknowledge and agree that we are not responsible for the availability of Third Party Sites, and do not endorse and are not responsible or liable for any content, advertising, products, services or other materials on or available from Third Party Sites. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, advertising, products, services or other materials available on or through any Third Party Sites or for any mistakes, defamation, libel, slander, omissions, falsehoods, obscenity, pornography, or profanity contained therein.

  1.       Trademark and Logo policy

Tutoronline's trademarks and logos are the property of TutorOnline LP. License for their use is granted for the sole purpose of promoting www.tutoronline.net and encouraging visits to our website. Licensees may not vary the spelling, add or delete hyphens, combine or separate words, abbreviate or alter in any way Tutoronline's marks. Licensees shall not reproduce, use, or authorize the reproduction or use of Tutoronline's marks in any manner other than expressly authorized by TutorOnline LP. Tutoronline's marks may not be combined with those of another company. Any use of the Tutoronline marks that implies a relationship with or endorsement by TutorOnline LP is strictly prohibited. TutorOnline LP has the right to control the use of its marks, and you agree to comply with any and all reasonable requests in relation to the use of TutorOnline LP marks. The following statement must accompany the use of TutorOnline LP trademarks and logos: "Tutoronline is either a registered trademark or trademark of TutorOnline LP".

  1.       Conduct, Fraud, and Consequences of Fraud

You may only access the site and use the Company Content and the Services for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, rules, and regulations pertaining to your use of the Services. You shall not upload to, distribute through, or otherwise publish through the site or the Services any content that you do not have the right to transmit or that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, otherwise objectionable, or that could constitute or encourage a criminal offense, violate the rights of any party, or otherwise give rise to liability or violate any law. You agree that you will not in any way: (i) interfere with the ability of others to access or use the Services; (ii) disrupt the normal flow of communication or otherwise act in a manner that negatively affects other users' ability to use the site or the Services; (iii) claim a relationship with or to speak for any individual, business, association, institution, or other organization for which you are not authorized to claim such a relationship; or (vi) interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services. You agree that you will treat the tutors with respect and not use obscenities in the classroom, make threats, or discuss matters other than those directly related to the academic subject for which you seek help. You agree that you will not disclose any information to a Tutor that could be considered personally identifiable information including your full name, address, telephone number, email address, social security number, password or any other information that could be used to identify or locate you. A violation of this agreement may lead to a suspension of your account. Similarly, you agree that you will not solicit any such information from any tutor, and agree that if any tutor ever discloses such information to you, asks you for any personal information, or suggests any offline meeting or conversation, you agree to immediately report this to us by phone and in writing.

You acknowledge that we may screen User Content, and that we shall have the right (but not the obligation), in our sole discretion, to remove any User Content, including terminating tutoring sessions. Without limiting the foregoing, we have the right to remove any User Content that violates these Terms or is otherwise objectionable. You agree and acknowledge that we may preserve User Content and may disclose User Content if required to do so by law or in the good faith belief that any such preservation or disclosure is reasonably necessary to comply with legal process, enforce these Terms, respond to claims that any User Content violates the rights of third parties or protect our rights, property or personal safety or that of our users and the public.

You agree that if you defraud or access our system (or Tutors) through any method that is in any way improper, attempt to do so, or allow anyone else to do so, you will immediately pay us $50 per hour, plus all costs we incur related to detecting and investigating your improper action(s), for each hour (or part thereof) that you (a) obtain improperly, (b) use, and/or (c) allow anyone else to use.

You agree that our cost of investigation will always be a minimum of $250 and will include inside and outside attorney and paralegal time and related fees, as well as the fees of private and forensic investigators and all court and other costs associated with collecting the amounts you owe, such as the costs related to requesting subpoenas from courts and then serving those subpoenas on you as well as serving them on Internet Service Providers, phone companies, schools, and other persons or organizations that we feel may be able to assist with our investigation.

For the purposes of this document, defrauding our system or accessing them improperly means creating accounts and/or adding time to them and/or using time from them in any manner other than by following our defined procedures for creating valid accounts and then paying for the tutoring you receive.

Examples of improper access include (but are not limited to) using any means to circumvent our registration or payment systems, hacking our system in any way, using the system when you have been notified that your permission to use the service has been revoked, sharing your account information or anyone else's account information with a third party (regardless of whether the particular third party can be identified), logging yourself or a third party in simultaneously, using a third party’s account, or failing to log yourself out after a session and (regardless of intention) thereby allowing others to access your account. Improper access also includes using any artifice or method (such as using multiple email accounts, cell phone numbers, and/or credit card numbers) to attempt to avoid paying for service. This may include, but is not limited to using multiple "get started" promotion codes or offers, deliberately avoiding depletion of account minutes, selling or auctioning of login credentials, and credit card fraud.

  1.       No Agency or Partnership

No agency, partnership, joint venture, or employment is created as a result of this Terms of Use. You do not have any authority of any kind to bind TutorOnline LP in any respect whatsoever. The parties are independent contractors. Neither party may direct or control the day-to-day activities of the other; neither party may create or assume any obligation on behalf of the other.

  1.       Disclaimer of Warranty; Limitations (THIS PARAGRAPH 9. APPLIES IN ALL STATES AND JURISDICTIONS IN WHICH SUCH TERMS ARE VALID AND ENFORCEABLE).

THE tutoronline.net ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, TutorOnline LP AND ITS SUBSIDIARIES, DIRECTORS, EMPLOYEES, MANAGERS, OFFICERS, AGENTS, REPRESENTATIVES OR VENDORS (COLLECTIVELY THE "TutorOnline LP PARTIES") SPECIFICALLY MAKE NO REPRESENTATIONS, WARRANTIES, OR ENRORSEMENTS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO (A) THE SERVICES; (B) THE tutoronline.net CONTENT; (C) USER CONTENT; AND/OR (D) SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION TO tutoronline.net OR VIA THE SERVICES. IN ADDITION, THE TutorOnline LP PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND FREEDOM FROM COMPUTER VIRUS.

IN NO EVENT WILL TutorOnline LP, ITS AFFILIATES, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING ANY PART OF THE SITE BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE ANY PART OF THE SITE. USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT AND FEATURES ON THE SITE.

  1.   Generals

These Terms and any policies applicable to you posted on the site constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. All rights not expressly granted herein are expressly reserved. These Terms shall inure to our benefit and to the benefit of our agents, licensors, licensees, successors, and assigns. If any provision of these Terms is found to be illegal or unenforceable, these Terms will be deemed curtailed to the extent necessary to make the Terms legal and enforceable and will remain, as modified, in full force and effect. These Terms and all matters or issues collateral thereto will be governed by, construed and enforced in accordance with the laws of the United Kingdom applicable to contracts executed and performed entirely therein (without regard to any principles of conflict of laws), and jurisdiction for any court action in the London, United Kingdom. Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested, or electronic mail. Nothing in these Terms shall be construed as making either party the partner, joint venture, agent, legal representative, employer, contractor or employee of the other. Neither party shall have, or hold itself out to any third party as having, any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on the other except as provided for herein or authorized in writing by the party to be bound.

  1.   Payment procedure

To gain full access to the use of the services available on Site User must make a payment to User’s account in accordance with the selected plan. Information on incoming transactions posted on the User’s personal account can be seen on User’s profile for twenty four (24) hours after it was refilled. Plan information can be found on the tutoronline.net.

The expiration date of a plan when activating other plans simultaneously equals to the one with the latest expiration date. Simultaneous activation of several identical plans does not change the overall validity of the plan. Funds deposited in the personal account may be used by Users only to obtain consulting services from the Tutors on the Site. Unused on consultation services funds stay on the User’s account till the expiration date of the selected plan. Upon the expiration date of the selected plan in the case of its non-renewal, the balance of the Personal Account of the User goes in favor of the site Administrator, and the User’s personal account is nullified. Prolongation of the plan is the appointment of the same or another selected plan with the appropriate amount credited to the Personal account before the expiration date of the current plan.  The period of extension is the same as the newly selected rate and is calculated from the date the Personal account is refilled for the necessary amount. At the same time, unused credit in the previous planes not nullified and is available for subsequent use.

The amount paid by Users prior to the publication of this Terms of Use may be used by Users for 360 (three hundred and sixty) days from the date of publication of the Terms of Use on the Site. In this case, if the User shall refill his/her Personal account, the expiration date of the funds on the Personal Account becomes the same as of the chosen plan. If the User has not used the balance of his/her account and did not add more funds to the account in this period, then, after the specified period, the account balance is nullified and all funds go in favor of the site Administrator. Adding funds to the account in accordance with the plans is not considered a payment for the consultation services obtained.

Rates can be changed by the site Administrator unilaterally as long as the User is notified on the website by changing the content of the information on plans (no special separate announcement is required). Changes in rates do not involve a cost allocation for the time period pre-paid by Users before the information about the change in rates is posted on the Site.

Payment can be made by the User using any of the methods listed on the Site at the discretion of the User, without charging any fees for the payment transfer by the site Administrator. The amount of deposited funds is reflected on the User’s profile after it has been received by the site Administrator.

Write-offs on the User’s account are made in accordance with rates - every thirty (30) seconds. The total amount of write-offs is calculated as follows:

The total amount of write-offs= Rate/ 45 * total consultation time (in minutes). If the total write-off is a fractional number, site administrator automatically rounds the amount written off up to the nearest integer in rubles.

Upon termination of the Terms of Use, the amount paid by the User shall not be returned, except for confirmed cases of impossibility of access to the Site resources when the site Administrator is at fault. Guaranteed refund is made based on the written request of the Consumer within thirty (30) calendar days of the receipt of such request if agreed to by the site Administrator. The method of refunding the set amount is negotiated with the User further.

  1.   Refund policy

You may request a refund for unused funds at your account (excluding any additional funds as defined which shall have no cash equivalent and shall not be refundable or capable of being withdrawn other than by means of a redemption in respect of tutoring services at Tutoronline) at any time. You must provide your request by skype to tutoronline.net or by email to [email protected] and include all your bank details i.e. your full name, sort code and account number (‘Refund Request Notification’). Your refund shall be made within thirty (30) days of Tutoronline LP’s receipt of your Refund Request Notification which will then be subject to the timescales imposed by your banking clearing systems.

Refunds shall only be provided in respect of funds purchased less than twelve (12) months prior to the Refund Request Notification. For the avoidance of doubt, no refunds shall be permitted in respect of funds purchased more than twelve (12) months prior to the Refund Request Notification.

All refunds are at Tutoronline's sole discretion.

  1.   Account Cancellation

You may cancel your account at any time throughout our service. Your account will only be cancelled and closed after all transactions have been processed including payment of assessed penalties. Even if your account in cancelled, your photos, comments and any other data you have shared via the services may persist within the service after cancellation of your account (for example, if your content has been reshared by others). Tutoronline LP may also cancel your account in its sole discretion any reason, including but not limited to inactivity or misuse.

  1.   Survival of termination
